1. ORGANIZER

PEOPLE HAVE THE POWER S.L. (hereinafter, the “ORGANIZER” or “PHTP”), a commercial company duly incorporated under Spanish law, with registered office in Madrid, calle Ulises, number 108, 3rd floor, and provided with the corresponding CIF (tax ID), organizes under its sole responsibility this nationwide promotion (hereinafter, the “PROMOTION”), in accordance with the provisions set out in these legal terms (hereinafter, the “TERMS”).

The purpose of the PROMOTION is to hold a prize draw through which participants who meet the established requirements may have the chance to obtain an exclusive experience linked to the “Mini Open Tennis” event, all within the framework of the collaboration with Trade Republic Bank GmbH (hereinafter, “TRADE REPUBLIC”), an entity that participates in the PROMOTION as a collaborator.

For these purposes, it is hereby noted that TRADE REPUBLIC does not hold the status of organizer of the PROMOTION, notwithstanding its participation therein in connection with the provision of the prize, the operational management associated with it, or any eventual communication with the winner.

The ORGANIZER reserves the right to interpret these TERMS, as well as to resolve any matter not foreseen herein, in accordance with criteria of good faith and applicable regulations.

2. REQUIREMENTS TO PARTICIPATE

Only natural persons who, at the time of their participation, cumulatively meet the following requirements (hereinafter, the “PARTICIPANTS”) may take part in the PROMOTION:

1. Minimum age: Being over eighteen (18) years of age, a circumstance that may be verified by the ORGANIZER at any time, through the request of official supporting documentation (DNI, NIE or passport).
2. Residence: Having legal residence in Spanish territory, understood as mainland Spain and the Balearic Islands. Residents of the Canary Islands, Ceuta and Melilla are expressly excluded, unless otherwise expressly indicated by the ORGANIZER.
3. Valid registration: Having correctly completed the official participation form provided for this purpose, supplying all required data in a truthful, complete and up-to-date manner.

The ORGANIZER reserves the right to exclude from the PROMOTION any PARTICIPANT who provides false, incomplete or inaccurate data, as well as those who fail to comply with the conditions established in these TERMS.

Nature of the participation

Participation in the PROMOTION is voluntary and free of charge, and in no case entails the obligation to pay any amount to the ORGANIZER.

Nevertheless, the costs arising from Internet access, the use of electronic devices or any other expense necessary to participate in the PROMOTION shall be borne by the PARTICIPANT, with the ORGANIZER assuming no responsibility for such items.

Limitations and exclusions

The following may not participate in the PROMOTION:

• Employees, executives or collaborators of the ORGANIZER.
• Employees or collaborators of TRADE REPUBLIC who have been involved in the management of the PROMOTION.
• Direct relatives (up to the second degree of consanguinity or affinity) of the persons mentioned above.

Should the participation of any of the excluded persons be detected, the ORGANIZER may proceed with their immediate disqualification, even if they had been a winner.

Acceptance of the terms

Participation in the PROMOTION necessarily implies the full, express and unconditional acceptance of these TERMS, as well as of the interpretative criteria that the ORGANIZER may apply in relation thereto.

3. HOW TO PARTICIPATE

3.1 Participation channels

Participation in the PROMOTION may only be carried out through the official channels enabled by the ORGANIZER, which are detailed below (hereinafter, the “CHANNELS”):

1. Digital channel (web): By accessing and registering through the official promotion website, available at the following address: https://miniopentennis.com/r2/
2. Digital channel (social media): By accessing the participation link (link in bio) available on the event's official Instagram profile: https://www.instagram.com/minishop_open_tennis/
3. In-person channel: By physically attending the TRADE REPUBLIC stand set up during the “Mini Open Tennis” event on April 25, where users can access the participation form by scanning the provided QR code, which will redirect them to the official PROMOTION landing page.

Participation through any of the CHANNELS described shall have the same validity, provided that the requirements set out in these RULES are met.

The ORGANIZER shall not be liable for technical incidents, connectivity failures, errors in accessing the links, or any other circumstance beyond its control that may prevent or hinder participation.

3.2 Registration flow and validation conditions

1. a) Mandatory form: For participation to be considered valid, the user must fully complete the official registration form provided for this purpose, mandatorily providing the following personal data:

• First name
• Surname
• National Identity Document (DNI) or equivalent document
• Indication of their status as a TRADE REPUBLIC customer or non-customer

The PARTICIPANT guarantees the truthfulness, accuracy, and currency of the data provided, being responsible for any false or inaccurate statement.

The ORGANIZER reserves the right to exclude any PARTICIPANT whose data is incorrect, incomplete, or unverifiable.

1. b) Identity verification: Should they be a winner or substitute, the PARTICIPANT must prove their identity by presenting a valid official document (DNI, NIE, or passport), which must fully match the data provided in the registration form.

Any discrepancy between the data provided and the supporting document may result in the automatic disqualification of the PARTICIPANT and the loss of the right to the prize.

1. c) Specific condition for TRADE REPUBLIC non-customers: In the case of PARTICIPANTS who are not TRADE REPUBLIC customers at the time of their registration, participation in the PROMOTION shall be subject to the additional fulfillment of the following condition:

The effective opening of a TRADE REPUBLIC account, carried out through the specific link provided after completing the participation form.

For these purposes:

Only those participations in which the account opening has been correctly completed in accordance with the procedures established by TRADE REPUBLIC shall be considered valid.

The ORGANIZER may verify this condition with the partner entity.

Should this requirement not be met, the participation shall be considered null and void for all purposes.

1. d) Participation limitations

Only one participation per person is permitted.

The ORGANIZER reserves the right to remove duplicate, fraudulent participations or those carried out by automated procedures or contrary to good faith.

4. DURATION AND ANNOUNCEMENT OF THE WINNER

4.1 Participation period

The PROMOTION will run from the moment of its publication until 30 April at 23:59 (mainland Spanish time).

No entries will be accepted outside this period, whatever the reason.

The ORGANISER reserves the right to modify, suspend or extend the participation period for justified reasons, duly communicated through the official channels.

4.2 Selection of the winner

Once the participation period has ended, the ORGANISER will proceed to select:

• One (1) winner
• One (1) substitute

The selection will be carried out by means of a random draw among all PARTICIPANTS who meet the requirements set out in these TERMS.

The selection process may be carried out using computer tools that guarantee the randomness and objectivity of the result.

4.3 Notification of the winner

The ORGANISER will announce the identity of the winner through its official channels, including social media.

Additionally, it may contact the winner directly using the details provided during registration, in order to manage the acceptance of the prize.

4.4 Acceptance of the prize and substitutions

The winner must expressly accept the prize and provide the required information within a reasonable period from the ORGANISER's first contact attempt.

Should any of the following circumstances occur:

• Impossibility of contacting the winner after several reasonable attempts
• Failure to respond within the stated period
• Express waiver of the prize
• Failure to meet any of the requirements set out in the TERMS

the prize will be awarded to the PARTICIPANT designated as substitute, applying the same conditions.

Should it also be impossible to award the prize to the substitute, the ORGANISER reserves the right to declare the prize void.

5. PRIZE

5.1 Description of the prize

The PARTICIPANT who wins the PROMOTION (hereinafter, the “WINNER”) will receive a prize consisting of an exclusive experience linked to the “Mini Open Tennis” event, which will include the following elements (hereinafter, the “PRIZE”):

1. a) Stay: Travel and accommodation for the WINNER in one of the six (6) villas of the “Los Felices Ibiza” complex, under conditions to be determined by the ORGANIZER and/or the collaborating entity.
2. b) Companions: The PRIZE shall be valid for the WINNER and up to a maximum of three (3) companions, designated by the WINNER themselves, who must, where applicable, meet the legal and organizational requirements demanded for the enjoyment of the PRIZE.
3. c) Experience: The PRIZE shall include:

• The opportunity to take part in the “Mini Open Tennis” tournament, subject in all cases to availability, technical conditions, required level and organizational criteria of the event.
• Access to VIP areas of the event.
• The possibility of interacting with personalities linked to the world of tennis, without any guarantee in any case of the presence of specific individuals or the duration or format of such interactions.

1. d) Event dates: The enjoyment of the PRIZE shall be linked to the holding of the event on October 9 and 10 in Ibiza.

5.2 Prize conditions

The PRIZE:

• Is personal and non-transferable.
• May not be exchanged, altered, compensated or redeemed for its cash value or for other goods or services.
• May not be assigned to third parties other than the companions designated in accordance with the provisions of these TERMS.

The ORGANIZER reserves the right to replace the PRIZE with another of similar characteristics or of equal or greater value in the event of supervening impossibility of carrying it out.

5.3 Limitations and responsibilities

The enjoyment of the PRIZE shall be subject to:

• The general contracting conditions of the providers involved (transport, accommodation, event organization, etc.).
• The applicable regulations regarding travel, events and access to facilities.
• The ORGANIZER shall not be responsible for:
• Cancellations, delays, modifications or incidents attributable to third-party providers.
• The impossibility of fully or partially enjoying the PRIZE for reasons attributable to the WINNER or their companions.
• Conduct by the WINNER or their companions that prevents the proper running of the event.

5.4 Modification of dates

The dates of the event and, consequently, of the enjoyment of the PRIZE, may be modified for organizational, logistical, health or force majeure reasons.

In such a case, the ORGANIZER shall duly inform the WINNER, without such modification giving rise to any right to compensation.

6. DATA PROTECTION

6.1 Data Controller

The data controller responsible for the PARTICIPANTS' personal data is:

• Registered address: Calle Ulises, 108, planta 3ª, 28043, Madrid.

6.2 Purposes of the processing

The personal data provided by the PARTICIPANTS will be processed for the following purposes:

• To manage their participation in the PROMOTION.
• To verify compliance with the requirements set out in the TERMS.
• To verify the identity of the PARTICIPANTS and, where applicable, the WINNER.
• To manage the delivery and enjoyment of the PRIZE.
• To share the data with TRADE REPUBLIC Bank GmbH for the proper execution of the PROMOTION.

6.3 Legal basis for the processing

The legal basis for processing the data is the performance of these TERMS, in accordance with Article 6.1.b) of Regulation (EU) 2016/679 (GDPR).

Additionally, where applicable, the processing may be based on the PARTICIPANT's consent for specific purposes.

6.4 Transfer of data to third parties

Participation in the PROMOTION involves sharing personal data with TRADE REPUBLIC Bank GmbH, in its capacity as a collaborating entity, for the purpose of properly managing the PROMOTION, verifying requirements and facilitating the delivery of the PRIZE.

This sharing is limited to the data strictly necessary and is carried out in accordance with the data protection regulations in force.

Likewise, the data may be shared with providers involved in managing the PRIZE (for example, travel agencies, accommodations or organizing companies), exclusively where necessary for its proper execution.

6.5 Data retention

The personal data will be retained for the time necessary to:

• Manage the PROMOTION
• Comply with legal obligations
• Address any liabilities arising from it

Once this period has elapsed, the data will be duly blocked or deleted in accordance with the applicable regulations.

6.6 Participants' rights

PARTICIPANTS may exercise the following rights at any time:

• Access to their personal data
• Rectification of inaccurate data
• Erasure of their data where applicable
• Objection to processing
• Restriction of processing
• Data portability

These rights may be exercised by means of a written request, duly identified, addressed to the ORGANISER's address.

Likewise, PARTICIPANTS have the right to file a complaint with the Spanish Data Protection Agency (AEPD) through its website: www.aepd.es

7. TAX MATTERS

The PRIZE awarded under this PROMOTION may be subject to the applicable tax regulations in force, in particular with regard to Personal Income Tax (IRPF).

Obtaining the PRIZE could constitute a capital gain for the WINNER, who shall be responsible for complying with all tax obligations corresponding to them under the applicable legislation.

Where applicable, the ORGANISER may apply the legally corresponding withholdings or payments on account, as well as provide the WINNER with the documentation necessary for tax purposes.

8. OTHER RULES

8.1 Powers of the ORGANISER

The ORGANISER reserves the right, at any time and without prior notice, to:

1. a) Rejection or exclusion of entries:

Exclude from the PROMOTION those PARTICIPANTS who:

• Fail to comply with any of the conditions set out in these TERMS AND CONDITIONS.
• Provide false, incomplete or unverifiable data.
• Make fraudulent entries or entries through automated procedures.
• Act in bad faith or engage in conduct that may alter the proper functioning, running or outcome of the PROMOTION.

Likewise, the ORGANISER may withdraw or invalidate those entries that, in its judgement, infringe the rights of third parties, the applicable regulations or the principles of good faith.

1. b) Modification, suspension or cancellation of the PROMOTION:

• Modify, extend, reduce, suspend or cancel the PROMOTION when justified causes arise, such as:
• Force majeure circumstances
• Technical or operational incidents
• Organizational changes

Any other cause that hinders or prevents the normal running of the PROMOTION

In such cases, the ORGANIZER undertakes to communicate said circumstance through the PROMOTION's usual channels, without this giving rise to any right to compensation in favor of the PARTICIPANTS.

1. c) Interpretation of the TERMS: Interpret these TERMS and resolve any question, incident or controversy that may arise in relation to the PROMOTION, always in accordance with criteria of good faith, transparency and applicable regulations.

The decisions made by the ORGANIZER in this regard shall be binding on the PARTICIPANTS, without prejudice to the rights afforded to them under current legislation.

8.2 Liability

The ORGANIZER shall not be responsible for:

• Technical failures, network interruptions, computer errors or access problems that may affect participation.
• Damages or losses arising from participation in the PROMOTION or from enjoyment of the PRIZE, except in cases where the law provides otherwise.
• Actions of third-party providers involved in the management of the PROMOTION or the PRIZE.

To the maximum extent permitted by applicable regulations, the ORGANIZER limits its liability to the proper management of the PROMOTION in accordance with these TERMS.

9. ACCEPTANCE OF THE TERMS AND JURISDICTION

9.1 Acceptance of the terms

Participation in the PROMOTION implies the full, express and unconditional acceptance of these TERMS by the PARTICIPANT.

Likewise, it implies the acceptance of:

• The ORGANIZER's interpretive criteria for resolving any matter arising from the PROMOTION.
• The decisions that the ORGANIZER makes in relation to it, within the framework of applicable regulations.

In the event of a discrepancy between the PARTICIPANTS and the ORGANIZER regarding the interpretation or execution of the TERMS, both parties undertake to try to resolve the dispute amicably.

9.2 Applicable legislation and jurisdiction

These TERMS shall be governed by and interpreted in accordance with current Spanish legislation.

For the resolution of any controversy, discrepancy or claim arising from the PROMOTION or from the interpretation or execution of these TERMS, the parties expressly submit to the jurisdiction of the Courts and Tribunals of the city of Madrid, expressly waiving any other jurisdiction that might correspond to them, unless applicable regulations imperatively provide otherwise.
